1. Grant of Authorization / Otorgamiento de la Autorización

The Rights Holder grants La Sopa Media LLC a non-exclusive, worldwide license to stream, broadcast, promote, publicly perform (where permitted), and digitally distribute the authorized recordings through:

• LaSopaFM.com

• La Sopa FM Podcast Network

• Official mobile applications

• Social media platforms

• Other digital platforms operated by La Sopa Media LLC

El Titular de Derechos otorga a La Sopa Media LLC una licencia mundial y no exclusiva para transmitir, difundir, promocionar, ejecutar públicamente (cuando la ley lo permita) y distribuir digitalmente las grabaciones autorizadas a través de:

• LaSopaFM.com

• La Sopa FM Podcast Network

• Aplicaciones oficiales

• Redes sociales

• Otras plataformas digitales operadas por La Sopa Media LLC.

3. Ownership and Warranties / Propiedad y Declaraciones

The Rights Holder represents and warrants that they own or legally control all rights necessary to authorize the submitted recordings and that the material does not infringe any copyright, trademark, neighboring rights, or other intellectual property rights of third parties.

El Titular declara y garantiza que posee o controla legalmente todos los derechos necesarios para autorizar las grabaciones enviadas y que dicho material no infringe derechos de autor, marcas registradas, derechos conexos ni otros derechos de propiedad intelectual de terceros.

4. Promotional Use / Uso Promocional

The Rights Holder authorizes La Sopa Media LLC to use the artist's name, logo, album artwork, promotional photographs, biographies, and short excerpts of the authorized recordings solely to promote the broadcasts and digital distribution covered by this Agreement.

El Titular autoriza a La Sopa Media LLC a utilizar el nombre artístico, logotipo, portadas, fotografías promocionales, biografías y pequeños fragmentos de las grabaciones únicamente para promocionar las transmisiones y distribución digital contempladas en este Acuerdo.

5. Compensation / Compensación

This authorization is granted free of charge and without expectation of royalties, license fees, or any other monetary compensation unless otherwise agreed in writing by both parties.

Esta autorización se concede gratuitamente y sin expectativa de regalías, licencias o cualquier otra compensación económica, salvo acuerdo escrito entre ambas partes.

6. Copyright Ownership / Propiedad Intelectual

This Agreement does not transfer ownership of the recordings or copyrights.

The Rights Holder retains full ownership of all copyrights and intellectual property.

This Agreement grants only the license expressly described herein.

Este Acuerdo no transfiere la propiedad de las grabaciones ni de los derechos de autor.

El Titular conserva todos sus derechos de propiedad intelectual.

Este Acuerdo únicamente concede la licencia expresamente indicada.

8. Termination / Withdrawal of Authorization

Terminación / Retiro de la Autorización

The Rights Holder may withdraw this authorization by providing at least thirty (30) days' written notice to support@lasopafm.com.

During this notice period, La Sopa Media LLC may continue broadcasting and promoting the authorized recordings.

La Sopa Media LLC also reserves the right to suspend, remove, discontinue, or refuse to broadcast or distribute any recording at its sole discretion, with or without prior notice.

El Titular podrá retirar esta autorización mediante un aviso por escrito con treinta (30) días de anticipación enviado a support@lasopafm.com.

Durante ese período La Sopa Media LLC podrá continuar transmitiendo y promocionando el material autorizado.

La Sopa Media LLC también se reserva el derecho de suspender, retirar o dejar de transmitir cualquier grabación en cualquier momento, con o sin previo aviso.

9. Limitation of Liability / Limitación de Responsabilidad

The Rights Holder agrees to indemnify and hold harmless La Sopa Media LLC, its owners, employees, affiliates, and partners from any claims, damages, liabilities, costs, or legal expenses arising from the submitted material or any breach of this Agreement.

El Titular acepta indemnizar y mantener libre de responsabilidad a La Sopa Media LLC, sus propietarios, empleados, afiliados y colaboradores por cualquier reclamación, daño, responsabilidad, costo o gasto legal derivado del material enviado o del incumplimiento de este Acuerdo.

10. Governing Law / Ley Aplicable

This Agreement shall be governed by the laws of the United States.

Este Acuerdo se regirá por las leyes de los Estados Unidos.

11. Electronic Signatures / Firmas Electrónicas

The parties agree that electronic signatures, electronically submitted forms, and typed legal names submitted through the official La Sopa FM Podcast Network website shall have the same legal effect as handwritten signatures, to the fullest extent permitted by applicable law.

Las partes aceptan que las firmas electrónicas, los formularios enviados electrónicamente y los nombres legales escritos enviados mediante el sitio oficial de La Sopa FM Podcast Network tendrán la misma validez legal que una firma manuscrita, en la máxima medida permitida por la legislación aplicable.

12. Entire Agreement / Acuerdo Completo

This Agreement constitutes the entire understanding between the parties regarding the authorized recordings and supersedes all prior oral or written agreements relating to the same subject matter. Any amendment to this Agreement must be be made in writing and agreed upon by both parties.

Este Acuerdo constituye el entendimiento completo entre las partes con respecto a las grabaciones autorizadas y reemplaza cualquier acuerdo verbal o escrito previo sobre la misma materia. Cualquier modificación deberá realizarse por escrito y ser aceptada por ambas partes.
